1. Definitions

In these Terms and Conditions, the following terms carry the meanings assigned below:

• "Agreement" means these Terms and Conditions together with any engagement letter or statement of work agreed between the parties.
• "Service" means the AI consulting services provided by Mykreativo, including Intelligent Process Mapping, Custom Vision Analysis, and AI Readiness Assessment.
• "We / Us / Our" refers to Mykreativo, operating from 42 Persiaran Stonor, 50450 Kuala Lumpur, Malaysia.
• "Client / You" refers to the individual or organisation engaging our services or using our website.
• "Deliverable" means any document, report, model, or other output produced as part of an engagement.
• "Engagement" means a specific consulting project undertaken under a separately agreed scope.
• "Website" means the website accessible at mykreativo.

2. Acceptance of Terms

By using our website or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree, please do not use our website or services.

By entering into an engagement with Mykreativo, you confirm that you are at least 18 years of age and have the legal capacity and authority to enter into a binding agreement on behalf of yourself or the organisation you represent.

These Terms apply to use of the website and to all consulting engagements unless a separate written agreement expressly supersedes them.

3. Service Description

Mykreativo provides AI and machine learning consulting services to organisations based primarily in Malaysia and the wider Southeast Asia region. Our services include, but are not limited to:

• Intelligent Process Mapping — workflow analysis and AI integration planning (6-week engagement, RM 1,800)
• Custom Vision Analysis — image recognition system development and deployment (approximately 10-week engagement, RM 3,900)
• AI Readiness Assessment — evaluation of data infrastructure and strategic alignment (4-week engagement, RM 950)

Service descriptions on the website are indicative. The specific scope, deliverables, timeline, and fee for each engagement are confirmed in a written statement of work or engagement letter prior to commencement.

Services are delivered primarily in English and are subject to availability. We reserve the right to decline any engagement enquiry at our discretion.

4. Engagement Terms

An engagement commences when both parties have agreed the scope in writing and any required deposit has been received. The following apply to all engagements:

• Timelines stated in service descriptions are estimates based on typical conditions and assume reasonable client participation and timely access to required information.
• Material changes to scope requested by the client after engagement commencement may affect timeline and price, which will be communicated and agreed in writing before proceeding.
• We will make reasonable efforts to meet agreed timelines, but delays caused by factors outside our control — including delayed access to data, client unavailability, or third-party dependencies — do not constitute a breach.
• Deliverables will be provided in formats mutually agreed at engagement setup. Requests for significantly different formats after delivery may incur additional fees.

5. User Responsibilities

Clients and website users agree to:

• Provide accurate, complete, and up-to-date information when requested during an engagement or via contact forms.
• Ensure that any data, documents, or materials shared with us for use in an engagement are provided lawfully and do not infringe third-party rights.
• Not use the website for any unlawful purpose, or to transmit harmful, deceptive, or offensive content.
• Not attempt to gain unauthorised access to any part of our systems or website.
• Maintain reasonable confidentiality of any information shared in connection with an engagement that is marked or understood to be confidential.

6. Intellectual Property

All content on this website — including text, design, structure, and graphics — is owned by or licensed to Mykreativo and is protected under Malaysian and international intellectual property law. You may not reproduce, distribute, or adapt website content without our written consent.

With respect to engagement deliverables:

• Upon full payment, clients receive a licence to use deliverables for internal business purposes.
• Mykreativo retains ownership of any underlying methodologies, tools, frameworks, and general know-how developed or used during an engagement.
• Clients may not resell, sub-licence, or distribute deliverables to third parties without prior written consent.
• Any models or systems built as part of an engagement are subject to specific ownership and licence terms agreed in the engagement letter.

Client data and materials shared with us remain the property of the client. We will not use client data for any purpose beyond the agreed engagement scope.

7. Payment Terms

All fees are quoted and payable in Malaysian Ringgit (RM) unless otherwise agreed in writing. Standard payment terms are:

• A deposit of 50% of the total engagement fee is due upon signing the engagement letter, prior to work commencing.
• The remaining 50% is due upon delivery of the final agreed deliverable(s).
• Payment may be made by bank transfer to our designated account. Details will be provided in the engagement letter.
• Invoices not paid within 14 days of the due date may attract a late payment fee of 1.5% per month on the outstanding balance.
• Quoted fees do not include applicable taxes. Goods and Services Tax (GST) or any successor tax will be applied where required by law.

Fees for website-initiated enquiries that do not progress to a formal engagement are not applicable — there is no charge for submitting an enquiry or having an initial consultation.

Cancellation and Refund Policy

• If a client cancels an engagement before work commences, any deposit paid will be refunded in full less an administrative fee of RM 200.
• If a client cancels after work has commenced, fees are due for work completed to date. The deposit may be applied against this amount.
• If Mykreativo is unable to deliver agreed services for reasons within our control, we will refund fees paid for undelivered work.

8. Confidentiality

Both parties agree to keep confidential any non-public information shared in connection with an engagement that is designated as confidential or that a reasonable person would understand to be confidential in nature.

This obligation does not apply to information that is publicly available through no fault of the receiving party, independently developed, or required to be disclosed by law or court order.

Confidentiality obligations survive the conclusion of any engagement for a period of three years. For engagements involving particularly sensitive client data, extended confidentiality terms may be agreed in the engagement letter.

9. Disclaimers

Our services are provided with professional care and in good faith. However:

• We do not warrant that recommendations made in any deliverable will produce specific business outcomes. AI-related work involves inherent uncertainty and results depend on many factors beyond our control.
• This website is provided "as is". We make no warranty regarding its continuous availability, freedom from errors, or fitness for any particular purpose.
• Information on this website is for general guidance only and does not constitute professional advice. Formal advice is only given within the scope of a contracted engagement.
• We are not responsible for any losses resulting from reliance on website content without engaging our services.

10. Limitation of Liability

To the maximum extent permitted by Malaysian law, Mykreativo's total liability to a client for any claim arising from an engagement shall not exceed the total fees paid by the client for that specific engagement.

We shall not be liable for any indirect, consequential, special, or incidental loss or damage, including lost profits, lost revenue, or loss of data, even if we have been advised of the possibility of such losses.

Nothing in these Terms limits liability for fraud, wilful misconduct, or death or personal injury caused by our negligence.

11. Indemnification

You agree to indemnify Mykreativo, its team members, and associates against any claims, losses, costs, or liabilities — including reasonable legal fees — arising from:

• Your breach of these Terms or any applicable law.
• Your use of our website in a manner not permitted by these Terms.
• Data or materials you provided to us that infringe third-party rights or were provided unlawfully.

12. Termination

Either party may terminate an engagement by giving 14 days' written notice. On termination:

• Fees are due for all work completed prior to the termination date.
• Each party will return or destroy the other's confidential materials promptly on request.
• Sections relating to intellectual property, confidentiality, liability, and dispute resolution survive termination.

We may terminate access to this website immediately and without notice if we reasonably believe a user is using it in breach of these Terms or applicable law.

13. Dispute Resolution

These Terms are governed by the laws of Malaysia. Any dispute arising from these Terms or an engagement will first be referred to good-faith negotiations between the parties. Either party may request a formal meeting by written notice.

If a dispute is not resolved within 30 days of such notice, the parties may refer the matter to mediation through the Kuala Lumpur Regional Centre for Arbitration (KLRCA) or a mutually agreed mediator before commencing formal proceedings.

The courts of Malaysia shall have exclusive jurisdiction over any legal proceedings arising from these Terms that cannot be resolved by the above means.

14. General Provisions

• Entire Agreement: These Terms, together with any signed engagement letter, constitute the entire agreement between the parties on the relevant subject matter.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in full effect.
• Waiver: Failure to enforce any provision does not constitute a waiver of that right for future occasions.
• Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our obligations to a successor entity provided the quality of service is not materially affected.
• Notices: Formal notices should be sent by email to legal@mykreativo or by post to our registered address.

15. Changes to These Terms

We may update these Terms from time to time. The current version will always be available at mykreativo/terms-conditions.html with the Last Updated date shown above.

For existing engagement clients, material changes to these Terms will be communicated directly by email at least 14 days before they take effect. Continued use of our website or services after that point constitutes acceptance of the updated Terms.
